Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Cull, operated by Tomas Giannini, Ontario, Canada ("we," "us," or "our"), governing your access to and use of the Cull mobile application and related services (collectively, the "Services"). By creating an account, entering a tournament, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years of age to use the Services. By creating an account, you represent and warrant that you are 18 years of age or older. We reserve the right to request proof of age at any time and to suspend or terminate accounts that do not meet this requirement.

2.2 Geographic Restrictions

The Services are available to residents of Canada only, with the following restrictions:

  • Paid tournaments with real-money prize pools are currently available to residents of Ontario only.
  • Residents of Quebec are not eligible to participate in paid tournaments at this time due to Quebec's contest and consumer protection legislation. Free-to-enter tournaments remain available to all Canadian residents.
  • Residents of other Canadian provinces and territories may access the App but may be restricted from paid tournaments depending on applicable provincial law. Eligibility is clearly indicated on each tournament's details page before entry.
  • You are solely responsible for ensuring that your participation in paid tournaments complies with all laws applicable in your province or territory of residence.

2.3 Account Requirements

To use the Services, you must:

  • Provide accurate and complete registration information, including your legal name.
  • Maintain the security of your account credentials.
  • Promptly update your account information if it changes.
  • Not create more than one account or transfer your account to another person.

You are responsible for all activity that occurs under your account.

3. Nature of the Platform — Skill-Based Contests

Cull is a skill-based competitive tournament platform. Tournament outcomes are determined predominantly by the skill, effort, knowledge, and ability of participants — including fishing technique, species identification, location selection, and strategy. Cull tournaments are not games of chance.

Key characteristics of Cull tournaments:

  • Outcomes depend on participants' angling skill, not chance.
  • All participants compete under the same rules and conditions.
  • Rankings are determined by objective, measurable criteria (e.g., number of verified catches, total length, species variety).
  • Participants with greater skill have a material advantage over less skilled participants.

4. Tournament Rules

4.1 Entry and Participation

  • Each tournament has specific rules regarding eligible species, geographic boundaries, time windows, entry fees, and scoring criteria. These rules are displayed before entry and are binding on all participants.
  • By entering a tournament, you agree to abide by all tournament-specific rules in addition to these Terms.
  • You must hold a valid fishing licence for the jurisdiction in which you are fishing. It is your sole responsibility to obtain and maintain all required licences and permits.

4.2 Catch Submission and Verification

Catches must be submitted through the App during the tournament window using the Catch Locker, which requires a bump board photo, hero photo, and release video. Submissions are analyzed using AI (including Apple Vision for on-device OCR and the Anthropic API for species verification). We reserve the right to perform additional manual review on any submission.

GPS location data is collected at the time of submission to verify the catch was made within the tournament boundary using Ontario Hydro Network (OHN) geofencing. You represent and warrant that all catch submissions are genuine, unaltered, and accurately represent a fish you personally caught during the tournament window.

4.3 Prohibited Conduct

The following conduct is prohibited and may result in immediate disqualification, forfeiture of prizes, and permanent account termination:

  • Submitting fraudulent, manipulated, or previously captured photographs or videos.
  • Submitting catches made by another person.
  • Using any device, software, or method to manipulate or spoof GPS location data.
  • Colluding with other participants to influence tournament outcomes.
  • Violating any applicable fishing regulations, conservation laws, or catch-and-release requirements.
  • Creating multiple accounts to enter the same tournament more than once.
  • Harassing, threatening, or engaging in unsportsmanlike conduct toward other participants.

5. Fees, Payments, and Prizes

5.1 Entry Fees

Some tournaments require an entry fee to participate. Entry fees are clearly displayed before you join a tournament. By entering a paid tournament, you authorize us to charge your payment method the specified entry fee through our payment processor, Stripe. Your email address must be verified before you may enter any paid tournament or deposit funds.

5.2 Platform Fee (Rake)

Cull reserves the right to retain a platform fee (rake) from tournament entry fee pools. The rake percentage applicable to each tournament is disclosed on the tournament details page before entry. At the time of launch, the platform rake is set to 0% — meaning 100% of entry fees collected constitute the prize pool. The rake may be introduced or adjusted in the future with notice to users as described in Section 13.

5.3 No Refunds on Entry Fees

Entry fees are non-refundable once a tournament has started. If you withdraw from or fail to participate in a tournament after it has commenced, you will not receive a refund. Refunds may be issued at our sole discretion in the following limited circumstances:

  • A tournament is cancelled by Cull before it starts.
  • A material technical error on our part prevented you from participating.

Refund requests must be submitted within 7 days of the relevant tournament by contacting roseranger.contact@gmail.com.

5.4 Prize Distribution

  • Prize distribution structures are displayed on each tournament's details page before entry.
  • Prizes are paid out in Canadian dollars (CAD) via Stripe to the payment method associated with your account.
  • All prize distributions are subject to a mandatory 48-hour review window following the conclusion of a tournament. During this window, results may be disputed and distributions may be withheld pending review.
  • We reserve the right to withhold prize distributions pending identity verification, fraud review, or investigation of potential rule violations.
  • You are solely responsible for any taxes payable on prizes you receive. We may issue tax information slips as required by the Canada Revenue Agency.

6. Angler Rank and Experience Points (XP)

Cull features an angler ranking system that awards Experience Points (XP) based on tournament performance. The following rules apply:

  • XP and rank are awarded only for participation in admin-approved public tournaments. Private and invite-only tournaments are not rank-eligible.
  • XP gains are permanent. Rank does not decrease as a result of poor tournament performance.
  • Cull reserves the right to modify the rank and XP system, including point values, thresholds, and reward structures, at any time. Changes will be communicated through the App.
  • Rank and XP have no monetary value and cannot be transferred, sold, or redeemed for cash.

7. Intellectual Property

All content, features, and functionality of the Services — including but not limited to the App design, text, graphics, logos, and software — are owned by Cull and are protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

By submitting catch photographs and videos through the Services, you grant Cull a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce those photographs and videos for the purposes of operating the Services and promoting Cull, including leaderboard displays, tournament records, social media, and marketing materials. You retain ownership of your original content.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free.
  • AI-based species verification will be 100% accurate in all cases.
  • GPS geofencing will be 100% precise in all conditions.
  • The results obtained from using the Services will be accurate or reliable.
  • Any errors in the Services will be corrected.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Cull, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.
  • Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount of entry fees you have paid to Cull in the 12 months preceding the claim.
  • We are not liable for any loss or damage resulting from incorrect AI verification decisions, GPS inaccuracies, network connectivity issues, or third-party service outages (including Stripe, Supabase, or Anthropic).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Dispute Resolution

10.1 Tournament Disputes

Disputes regarding tournament results, catch verification, or scoring must be submitted within 48 hours of the tournament's conclusion by contacting roseranger.contact@gmail.com. Cull will review all disputes and render a final decision within 14 business days. Cull's decision on tournament disputes is final and binding.

10.2 Payout Disputes

Prize distributions are subject to a mandatory 48-hour review window. During this period, any participant may raise a dispute regarding the results before funds are released. Disputes raised after funds have been distributed will not result in clawback except in cases of confirmed fraud.

10.3 General Disputes

For disputes not related to tournament results, you agree to first attempt to resolve the matter informally by contacting us at roseranger.contact@gmail.com. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through the courts of the Province of Ontario, Canada, which shall have exclusive jurisdiction.

10.4 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11. Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any tournament rules.
  • Fraudulent or dishonest conduct.
  • Failure to provide accurate identity or age verification.
  • Activity that threatens the safety, integrity, or reputation of the Services or other users.
  • Inactivity for a period exceeding 12 months.

Upon termination, your right to use the Services ceases immediately. Any pending prize distributions for verified, undisputed tournament results will be processed within 30 days of termination. Entry fees for tournaments that have already started are non-refundable upon termination.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cull and Tomas Giannini from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.

13. Modifications to Terms

We may modify these Terms at any time. Material changes — including any introduction or change to the platform rake — will be communicated through the App or via email at least 14 days before they take effect. Your continued use of the Services after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must stop using the Services and delete your account.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with the Privacy Policy and any tournament-specific rules, constitute the entire agreement between you and Cull regarding the Services and supersede all prior agreements, representations, and understandings.
